Jeffer Mangels Butler & Mitchell LLP represents buyer in acquisition of historic San Francisco brewery

SAN FRANCISCO—Jeffer Mangels Butler & Mitchell LLP (JMBM) clients Tony Foglio and Keith Greggor of Anchor Brewers & Distillers, LLC (ABD) acquired San Francisco brewery Anchor Brewing Company from craft beer movement founder Fritz Maytag.
Jeffer Mangels partner Wesley Kinnear represented Foglio and Greggor in the complex transaction, which was announced in April this year and closed August 4.
Anchor Brewing Company, founded in 1896 and one of San Francisco’s oldest breweries, was purchased in 1965 by Maytag, who is widely credited with founding the microbrewing movement in the United States.
As part of the transaction, Foglio and Greggor, the former management team at Skyy Spirits, consolidated Preiss Imports, a specialty importer of premium spirits and beer, and BrewDog USA, the exclusive U.S. distributor of BrewDog beer from Scotland, into the ABD family of companies. Maytag has been named Chairman Emeritus of ABD.
“Our aim is to build on the traditions of Anchor” said Greggor, Anchor’s new CEO. “The only thing that beer fans should expect is that Anchor will be brewing more beer to reach more people––which is good for Anchor’s employees and for San Francisco.”
In addition, ABD has established a strategic partnership with Berry Bros. & Rudd, the 312-year-old British purveyor of wine and spirits to the royal family.
“Being a 300-year-old family-run company, Berry Brothers can certainly appreciate the traditions of 100-year-old Anchor” said Kinnear. “It’s a testament to Tony and Keith that they were able to structure a transaction that will enable the iconic brewery and distillery to remain in San Francisco.”
ABD plans to establish a “Center of Excellence” in San Francisco for craft brewers and artisan distillers from around the world which will expand on the growing consumer demand for authentic, quality and natural products that reflect the passions of their creators.
Terms of the transaction were not disclosed.
